Article 1. For the purposes of standardizing iron ore spot trading activities, maintaining market order, protecting the lawful rights and interests of all trading parties, and promoting the healthy development of the iron ore spot market, Beijing Iron Ore Trading Center Corporation (hereinafter referred to as "COREX") formulates these Measures in accordance with policies and regulations such as the "Measures for the Administration of Trading Venues in Beijing".

Article 2. Member Information refers to all types of non-public information submitted or generated by members during their membership application at COREX and in the course of business activities conducted through COREX's iron ore spot electronic trading system.

Article 3. COREX has the right to collect and retain Member Information in accordance with national laws and regulations, the iron ore spot trading rules of COREX, and the Market Access Agreement of members.

Article 4. COREX shall strictly maintain the confidentiality of Member Information and shall not use the information provided by members to engage in any activities unrelated to COREX’s business or detrimental to the interests of members. Without the consent of the member or unless as necessary for business operations, COREX shall not disclose Member Information to any third party, except in the following circumstances:

1. As required by laws and regulations;

2. As stipulated in the iron ore spot trading rules of COREX;

3. Upon the request of any competent government authority or regulatory agency;

4. As necessary for disclosure to COREX's professional advisors or lawyers;

5. Upon the member's written approval;

6. Where Member Information has already become publicly available through no fault of COREX;

7. Any other circumstances as otherwise agreed upon by the parties.

Article 5. COREX has the right to publish trading information to members and the public in accordance with the "Administrative Measures for Information Release on Iron Ore Spot Trading of Beijing Iron Ore Trading Center".

Article 6. COREX shall adopt technical measures and other necessary steps to manage Member Information in a centralized and unified manner, ensuring the security of Member Information and preventing its leakage or loss. In the event of any leakage or loss of Member Information, remedial actions shall be taken immediately.

Article 7. COREX reserves the right to interpret and revise these Measures.

Article 8. Both Chinese and English versions are valid. In case of any inconsistency, the Chinese version shall prevail.

會(huì)員信息保密辦法

第一條 為規(guī)范鐵礦石現(xiàn)貨交易活動(dòng)，維護(hù)市場秩序，保護(hù)交易各方的合法權(quán)益，促進(jìn)鐵礦石現(xiàn)貨市場健康發(fā)展，根據(jù)《北京市交易場所管理辦法》等政策法規(guī)，北京鐵礦石交易中心股份有限公司（以下簡稱“北鐵中心”）制定本辦法。

第二條 會(huì)員信息是指會(huì)員在北鐵中心進(jìn)行會(huì)員資格申請(qǐng)、以及在北鐵中心鐵礦石現(xiàn)貨電子交易系統(tǒng)進(jìn)行業(yè)務(wù)活動(dòng)過程中所提交及形成的各類會(huì)員未公開信息。

第三條 北鐵中心有權(quán)按照國家法律法規(guī)、北鐵中心鐵礦石現(xiàn)貨交易規(guī)則以及會(huì)員入市協(xié)議的規(guī)定收集、保存會(huì)員信息。

第四條 北鐵中心對(duì)于會(huì)員信息嚴(yán)格保密，不得利用會(huì)員提供的信息從事任何與業(yè)務(wù)無關(guān)或有損會(huì)員利益的活動(dòng)。未經(jīng)會(huì)員同意或業(yè)務(wù)辦理需要，北鐵中心不得向任何第三方披露會(huì)員信息，但下列情況除外：

1.依法律、法規(guī)的規(guī)定；

2.依北鐵中心鐵礦石現(xiàn)貨交易規(guī)則的規(guī)定；

3.依任何有管轄權(quán)的政府機(jī)關(guān)、監(jiān)管機(jī)構(gòu)的要求；

4.向北鐵中心的專業(yè)顧問或律師披露；

5.經(jīng)會(huì)員書面認(rèn)可；

6.非因北鐵中心原因，會(huì)員信息已經(jīng)公開；

7.其他約定的情形。

第五條 北鐵中心有權(quán)根據(jù)《北京鐵礦石交易中心鐵礦石現(xiàn)貨交易信息發(fā)布管理辦法》向會(huì)員和社會(huì)公眾發(fā)布交易信息。

第六條 北鐵中心采用技術(shù)措施和其他必要措施對(duì)會(huì)員信息進(jìn)行集中統(tǒng)一管理，確保會(huì)員信息安全，防止會(huì)員信息泄露、丟失。一旦發(fā)現(xiàn)會(huì)員信息泄露、丟失，應(yīng)立即采取補(bǔ)救措施。

   第七條 本辦法由北鐵中心負(fù)責(zé)解釋和修訂。
